These Terms of Service ("Terms") govern your access to and use of the Influverse website, platform, and related services (collectively, the "Services").

Influverse is an online marketplace that connects brands ("Brands") with content creators ("Creators") for influencer marketing collaborations.

By accessing or using Influverse, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you may not use the Services.

1. Operator of the Platform

Influverse is operated by:

Influverse provides a technology platform that allows Brands and Creators to connect and collaborate. Influverse acts as an intermediary and is not a party to agreements between users.

2. Eligibility

To use Influverse you must:

• be at least 18 years old
• have the legal capacity to enter into binding agreements
• provide accurate information when creating an account

If you create an account on behalf of a company, you confirm that you are authorized to represent that company.

3. User Accounts

To access certain features of Influverse you must create an account.

You agree to:

• provide accurate and complete registration information
• maintain the confidentiality of your login credentials
• be responsible for all activities conducted through your account

Influverse reserves the right to suspend or terminate accounts that:

• violate these Terms
• engage in fraud or abuse
• provide false information

4. Marketplace Services

Influverse is a marketplace that allows Brands to hire Creators for marketing campaigns.

Influverse does not guarantee:

• the performance of marketing campaigns
• the authenticity of followers or engagement
• business results from collaborations

All agreements regarding content, pricing, deadlines, and usage rights are made directly between Brands and Creators.

5. Responsibilities of Users

Brands agree to:

• provide accurate campaign descriptions
• clearly define deliverables and deadlines
• pay agreed fees through the platform
• respect intellectual property rights

Creators agree to:

• deliver agreed content on time
• provide authentic and lawful content
• comply with applicable advertising laws
• clearly disclose sponsored content where required

6. Prohibited Activities

Users may not:

• post or request illegal content
• promote hate speech, harassment, or discrimination
• publish explicit or pornographic content
• infringe intellectual property rights
• artificially manipulate follower counts or engagement
• attempt to circumvent Influverse service fees

Influverse reserves the right to remove content and suspend accounts that violate these rules.

7. Payments and Fees

Payments on Influverse are processed through a third-party payment provider.

Influverse may charge a platform service fee on transactions conducted through the platform.

Payments may be held temporarily until order completion and approval.

Users agree that:

• payments must be made through the platform
• Influverse may deduct applicable service fees
• payout timing may depend on payment processing providers

Users are responsible for their own tax obligations related to payments received through Influverse.

8. Disputes

If a dispute arises between a Brand and a Creator regarding an order, Influverse may assist in resolving the dispute.

Influverse may review:

• communication between users
• delivered content
• order agreements

However, Influverse acts only as a mediator and is not obligated to resolve disputes.

9. Intellectual Property

Unless otherwise agreed between the parties:

• Brands receive commercial usage rights to the delivered content once full payment has been completed.
• Creators retain ownership of their original intellectual property.

Creators may display completed work in their portfolio unless restricted by agreement.

10. Platform Availability

Influverse strives to provide reliable services but does not guarantee that the platform will be:

• uninterrupted
• error-free
• secure at all times

Influverse may modify or discontinue features of the platform at any time.

11. Limitation of Liability

To the maximum extent permitted by law, Influverse shall not be liable for any:

• indirect damages
• lost profits
• lost business opportunities
• reputational damages

arising from the use of the platform.

Influverse's total liability for any claim related to the Services shall not exceed the total service fees paid to Influverse during the preceding 12 months.

12. Indemnification

You agree to indemnify and hold harmless Influverse and its operators from any claims, damages, or liabilities arising from:

• your use of the platform
• your violation of these Terms
• your infringement of third-party rights

13. Account Termination

Influverse may suspend or terminate accounts that:

• violate these Terms
• engage in fraudulent activity
• misuse the platform

Users may delete their accounts at any time.

14. Changes to Terms

Influverse may update these Terms from time to time.

When changes occur, the updated version will be posted on this page with a revised "Last updated" date.

Continued use of the platform constitutes acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Switzerland.

Any disputes shall be subject to the jurisdiction of the competent courts in Switzerland.
